Short answer: no. If your company was formed in the United States, you no longer have to file a beneficial ownership information (BOI) report with FinCEN. A final rule issued August 11, 2026 — effective when it was published in the Federal Register on August 14 — permanently removed the requirement for US companies and US persons. Only companies formed under a foreign country's law that register to do business in a US state still report.
If you've seen a checklist telling you to "file your BOI report within 90 days of forming your LLC," that advice is out of date. (We had that step in our own roadmap. We've removed it.)
Who still has to file
- LLC or corporation formed in any US state: no report.
- Sole proprietorship or general partnership: no report (you never had to file one).
- Company formed in another country and registered to do business in a US state: yes, but only for its foreign beneficial owners.
Foreign companies that still file no longer have to list US-person "company applicants."
What about the report I already filed?
Nothing to do. FinCEN has said it will delete BOI previously submitted about US persons. You don't need to update or correct it, and you don't need to keep a FinCEN ID current.
The one state rule worth knowing
The federal change doesn't override state laws. New York's LLC Transparency Act took effect January 1, 2026 — but after a late amendment it applies only to LLCs formed outside the US that are authorized to do business in New York. If you formed your LLC in New York or any other US state, it doesn't apply to you either.
Why this keeps confusing people
BOI reporting started in January 2024, was paused and un-paused by courts several times, was narrowed by an interim rule in March 2025, and was finally ended for US companies in August 2026. A lot of formation guides — and some paid "compliance" services — were written somewhere in the middle of that and never updated. If a service is still offering to file your BOI report for a fee, you don't need it.
