How to File
Choose Your Partnership Type
Decide whether to form a General Partnership (GP), Limited Partnership (LP), or Limited Liability Partnership (LLP) in Oklahoma. Each type has different liability implications and filing requirements under Oklahoma statutes.
1-2 hours
Select and Verify Partnership Name
Choose a unique partnership name and search the Oklahoma Secretary of State business name database to ensure availability. LPs must include 'Limited Partnership' or 'L.P.' in the name; LLPs must include 'Limited Liability Partnership' or 'L.L.P.'
30 minutes
Designate a Registered Agent
Appoint a registered agent with a physical street address in Oklahoma who will receive legal and official documents on behalf of the partnership. The registered agent must be available during normal business hours.
30 minutes
Draft a Partnership Agreement
Create a written partnership agreement outlining each partner's roles, capital contributions, profit and loss sharing, decision-making authority, and dissolution procedures. While not required to be filed with the state, this document is critically important for managing the partnership.
3-10 hours
What's Next After Filing
Once your Partnership is officially formed, you'll want to complete these important steps:
- •File Formation Documents with the State — General Partnerships are not required to file with the Oklahoma Secretary of State, but Limited Partnerships must file a Certificate of Limited Partnership and LLPs must file a Statement of Qualification with the Oklahoma Secretary of State along with the $100 filing fee.
- •Obtain an EIN and Open a Business Bank Account — Apply for a Federal Employer Identification Number (EIN) from the IRS, which is required for tax purposes and to open a business bank account. Partnerships with more than one partner are required to have an EIN.
- •Register for Oklahoma State Taxes and Licenses — Register with the Oklahoma Tax Commission for applicable state taxes including withholding tax if you have employees, and obtain any required local or state business licenses or permits relevant to your industry.
Advantages
- ✓Simple and inexpensive to form, especially general partnerships which require no state filing in Oklahoma
- ✓Pass-through taxation avoids double taxation — profits and losses flow directly to partners' personal tax returns
- ✓Flexible management structure with fewer formalities and no required annual reports in Oklahoma
- ✓Allows two or more individuals to combine resources, skills, and capital to operate a business together
Considerations
- •General partners face unlimited personal liability for partnership debts and obligations, putting personal assets at risk
- •Partnerships dissolve upon the death, withdrawal, or bankruptcy of a general partner unless the agreement states otherwise
- •Partners may be personally liable for the wrongful acts of other partners in a general partnership
- •Raising capital can be more difficult compared to corporations, as partnerships cannot issue stock
