What's Next After Filing

Once your S-Corp is officially formed, you'll want to complete these important steps:

  • Adopt Bylaws and Hold Organizational MeetingAdopt corporate bylaws, elect a board of directors, appoint officers, and issue stock shares at an organizational meeting. Document all actions with formal corporate minutes to maintain proper records.
  • Obtain EIN and File IRS Form 2553Obtain a federal Employer Identification Number (EIN) from the IRS, then file IRS Form 2553 (Election by a Small Business Corporation) to elect S-Corporation tax status. This must be filed no later than 2 months and 15 days after the start of the tax year the election is to take effect.
  • Register for Nebraska State Taxes and LicensesRegister with the Nebraska Department of Revenue for applicable state taxes, including income tax withholding and sales tax if applicable. Obtain any required local or state business licenses or permits relevant to your industry.

Advantages

  • Pass-through taxation avoids federal double taxation, with corporate profits and losses reported on shareholders' personal tax returns
  • Shareholders who are active in the business may reduce self-employment tax liability by receiving a reasonable salary plus distributions
  • Limited liability protection shields shareholders' personal assets from business debts and legal judgments
  • Nebraska imposes no state-level corporate income tax on S-Corporation pass-through income, providing a favorable tax environment
  • Established corporate structure lends credibility with investors, lenders, and potential business partners

Considerations

  • Nebraska's mandatory publication requirement adds cost and time to the formation process, typically ranging from $40 to $100 or more depending on the county newspaper
  • S-Corporation eligibility restrictions limit the entity to 100 shareholders, one class of stock, and U.S. citizens or resident aliens as shareholders only
  • More administrative burden than an LLC, including required bylaws, organizational meetings, board of directors, annual minutes, and corporate formalities to maintain liability protection

Annual Obligations

Annual Report Fee:$26
Report Due:March 1 (biennial for most, but corporations file a biennial occupational tax report)
Nebraska S-Corporations are subject to a biennial occupational tax (corporation occupation tax) rather than a traditional annual report fee, currently $26 for the biennial filing period. Nebraska S-Corporations pay no state-level corporate income tax on pass-through income, but shareholders must report their share of income on Nebraska individual income tax returns. Corporations must also maintain a registered agent and continue publication requirements if any structural changes trigger new publication obligations.
