How to File
Choose a Name for Your Nonprofit
Select a unique name that complies with Maine naming rules and is distinguishable from other entities on record with the Maine Secretary of State. You can reserve your name for 120 days by filing an Application for Reservation of Name with a $20 fee.
30 minutes to 1 hour
Appoint a Registered Agent
Designate a registered agent with a physical street address in Maine who is available during normal business hours to accept legal documents on behalf of the nonprofit. The registered agent can be an individual Maine resident or a business entity authorized to do business in Maine.
30 minutes
Select Initial Directors
Maine requires a minimum of three directors to form a nonprofit corporation. Identify your initial board of directors who will govern the organization until the first annual meeting of members or until their successors are elected.
1-2 hours
File Articles of Incorporation
Prepare and file Articles of Incorporation with the Maine Secretary of State, Bureau of Corporations, Elections and Commissions. The articles must include the nonprofit's name, purpose, registered agent information, number of directors, and incorporator details. Filing can be done online, by mail, or in person.
1-2 hours
What's Next After Filing
Once your Nonprofit is officially formed, you'll want to complete these important steps:
- •Draft Bylaws and Hold Organizational Meeting — Create bylaws that govern the internal operations of the nonprofit, including meeting procedures, officer roles, and board responsibilities. Hold an organizational meeting of the board of directors to formally adopt the bylaws, elect officers, and conduct other initial business.
- •Apply for Federal Tax-Exempt Status — If seeking 501(c)(3) status, file IRS Form 1023 (or Form 1023-EZ for eligible smaller organizations) with the Internal Revenue Service to obtain federal tax-exempt status. The IRS filing fee is $275 for Form 1023-EZ and $600 for Form 1023.
- •Register for Maine State Charitable Solicitation — If your nonprofit will solicit charitable contributions in Maine, register with the Maine Department of Professional and Financial Regulation, Office of Professional and Occupational Regulation. Annual renewal is required, and fees vary based on the organization's gross contributions received.
Advantages
- ✓Eligibility for federal 501(c)(3) tax-exempt status, exempting the organization from federal and often state income taxes
- ✓Ability to receive tax-deductible donations, making fundraising more attractive to individual and corporate donors
- ✓Limited liability protection for directors, officers, and members from the organization's debts and legal obligations
- ✓Access to grants, government funding, and nonprofit-specific discounts on postage, software, and other services that are unavailable to for-profit entities
Considerations
- •Profits cannot be distributed to founders, directors, or members — all earnings must be reinvested into the organization's mission
- •Significant administrative and compliance burden, including annual reports, IRS Form 990 filings, charitable solicitation registration renewals, and maintaining corporate records
- •Loss of full private control, as the nonprofit is governed by a board of directors and subject to public accountability and regulatory oversight
