What's Next After Filing
Once your S-Corp is officially formed, you'll want to complete these important steps:
- •Hold an Organizational Meeting — Conduct an initial organizational meeting of directors and/or shareholders to adopt bylaws, elect officers, issue stock, and resolve other organizational matters. Document the meeting with formal minutes.
- •Obtain an EIN and Open a Bank Account — Apply for a federal Employer Identification Number (EIN) from the IRS at no cost, then open a dedicated business bank account for the corporation to maintain proper separation of personal and business finances.
- •File IRS Form 2553 for S-Corp Election — Submit IRS Form 2553 to elect S-Corporation tax status with the IRS. This must be filed no later than two months and 15 days after the beginning of the tax year in which the election is to take effect, and all shareholders must consent.

- ✓Pass-through taxation avoids double taxation — Idaho S-Corp income is reported on shareholders' personal Idaho income tax returns, not at the corporate level.

- •Raising outside investment is more restrictive since S-Corps cannot issue preferred stock or have foreign or corporate shareholders.
